Red Wizardry Pty Ltd ("Red Wizardry", "we", "us", "our")

1. Agreement to These Terms

These Terms & Conditions govern your access to and use of the Red Wizardry website and the services we provide. By using this website, enquiring about our services or engaging us to perform work, you agree to be bound by these terms.

2. Our Services

Red Wizardry provides custom software development, systems integration, API and middleware development, web and mobile application development, cloud and DevOps services, and related consulting and automation services. We do not provide website design, website hosting or ongoing website maintenance services.

3. Quotes and Proposals

Quotations and proposals prepared by us are based on the information you provide during the discovery process. They remain valid for the period stated and may be revised where project scope, requirements or assumptions change.

4. Project Scope and Changes

Each project will have an agreed scope of work. Where additional requirements arise that fall outside the agreed scope, we will prepare a variation with any associated cost or timeline adjustments before proceeding.

5. Client Responsibilities

You agree to provide us with the access, information, feedback and approvals reasonably required to deliver the services, and to ensure that any information you supply is accurate and lawfully provided.

6. Payment Terms

Payment terms are set out in our proposal or invoice. Unless otherwise agreed, fees are payable on the due dates specified. We may suspend work or withhold delivery where amounts are overdue.

7. Intellectual Property

Unless otherwise agreed in writing, ownership of all original software, code, designs and deliverables created by Red Wizardry for your project will transfer to you on full payment. Red Wizardry retains ownership of its general tools, methodologies and pre-existing intellectual property, and grants you a licence to use these solely as part of the deliverables.

8. Confidentiality

Each party will keep confidential all non-public information received from the other party in connection with the services, and will use it only for the purpose of performing or receiving the services. The Information Regulator and applicable data protection laws will be complied with in relation to all personal information processed as part of the services.

9. AI-Assisted Development

Red Wizardry uses artificial intelligence tools to support its development process, including code generation, automated review, testing and documentation. AI output is always reviewed and controlled by our engineers, and does not alter our obligations under these terms or our responsibility for the quality of deliverables.

10. Warranties and Liability

We warrant that services will be performed with reasonable skill and care. To the maximum extent permitted by law, Red Wizardry's total aggregate liability under or in connection with any engagement is limited to the amount paid by you for the services giving rise to the claim, and we will not be liable for any indirect, incidental, special or consequential losses.

11. Support and Maintenance

Unless otherwise agreed, support and maintenance services are provided under a separate written agreement. Fortuitous failures will be addressed in accordance with the support terms, if any, applicable to your project.

12. Termination

Either party may terminate an engagement on written notice in accordance with the terms of the relevant proposal. On termination, you will pay for work performed up to the date of termination, and deliverables completed and paid for will be released to you.

13. Data Protection

Any personal information processed in connection with our services is handled in accordance with our Privacy Policy and applicable laws, including POPIA.

14. Governing Law

These terms are governed by the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the South African courts.
